TRAVELZOO META TERMS & CONDITIONS

Welcome to Travelzoo META!

Travelzoo META is a subscription program that seeks to provide subscribing individuals (“Travelzoo META Members” or “Members”) with services such as e-mail newsletters containing Metaverse news, stories, and written and visual content (“Newsletters”), including but not limited to premium access to exclusive virtual reality travel experiences (“VR Experiences” and together with the Newsletters and other services offered by Travelzoo META, the “Services”).

By purchasing or using Travelzoo META, you agree to the following terms and conditions (the “Travelzoo META Terms”). Your use of the Travelzoo META websites and mobile applications and other Services of Travelzoo META are also governed by the Travelzoo META Privacy Policy (as it may be amended from time to time), which are incorporated herein by reference. For the avoidance of doubt, any reference to “Travelzoo” in these Travelzoo META Terms refers to Travelzoo (Asia) Limited, a private limited company organized under the laws of Hong Kong and a subsidiary of Travelzoo, and to its affiliates.

A “Travelzoo META Member” is any individual who has a Travelzoo META account and includes any individuals who sign up for Founding Membership (also called a “Travelzoo META Founding Member”). “Founding Membership” is described in more detail below under Membership Types. A “Travelzoo META Membership Holder” is any Travelzoo META Member who signs up and pays the subscription fees for Travelzoo META once Travelzoo META has launched or who has signed up and paid for Founding Membership and has not opted out of Travelzoo META before launch. 

These Travelzoo META Terms govern your relationship with Travelzoo with respect to your use of the Services, including your purchase on or through the Travelzoo website or mobile application of any offer, benefit or privilege that is advertised on the website or mobile application in connection with the Travelzoo META Membership and is made available by or through a third-party supplier (each, a “Supplier”).

Account Registration

Travelzoo META Membership subscriptions are for individuals only. In order to utilize specific features and take advantage of the benefits offered by a Travelzoo META Membership, individuals will need to become Travelzoo META Members. All other entities or parties, including but not limited to, corporations, travel agencies, government entities, regulatory bodies, etc., are not eligible to enrol as Travelzoo META Members nor receive any benefits in connection with a Travelzoo META Membership.

Each Travelzoo META Member must provide certain requested information in order to register and create a Travelzoo META Membership account. In certain circumstances involving changes to information in your Travelzoo META Membership account (e.g., name changes), Travelzoo may require that you provide supporting legal documentation.

Payment information will be maintained in the Member’s Travelzoo META Membership account. Any such information provided by a Member must be valid, accurate and up-to-date at all times.

By subscribing or otherwise accepting any Travelzoo META Services, a Member acknowledges and understands that some or all of their information, including contact information, may be shared with participating Suppliers (including, for example, payment providers) and processed according to their data policies. This sharing is generally pursuant to written agreements that include confidentiality, privacy and security obligations; however, Members understand that Travelzoo does not control the privacy practices of these third-party Suppliers. If a Member has questions about Travelzoo’s collection, use or disclosure of a Member’s data, the Member should consult the Privacy Policy.

Travelzoo META Membership Types and Billing Cycles

Travelzoo META Membership Types

Travelzoo will provide information on its then-current Travelzoo META Membership requirements on the Travelzoo META Site and/or by other means through the Travelzoo META Services. Features of the Travelzoo META Services and prices are subject to change.

Founding Membership: “Founding Membership” refers to pre-registering and signing up to receive newsletters containing exclusive Metaverse and Travelzoo META news and content. Purchasing a Founding Membership also implies that you will be one of the first subscribers to the Travelzoo META Membership when it officially launches. Founding Membership may also provide you with the right to a special subscription fee for the first year of the Travelzoo META Membership (to be paid by you when the Travelzoo META Membership officially launches) and a special NFT. 

By accepting these Travelzoo META Terms, you acknowledge and agree that Travelzoo does not in any way guarantee the launch date of the Travelzoo META Membership and does not in any way guarantee any product or services offerings. If the launch date of the Travelzoo META Membership is delayed for any reason, you will not be eligible for a refund.

Travelzoo META: “Travelzoo META” provides you with access to Travelzoo META Services

Travelzoo META – Newsletters Only: You may have the option to sign-up for email notifications and news updates regarding Travelzoo META for free. The Terms and Conditions for Travelzoo govern the provision of this service. For the avoidance of doubt, the newsletters provided as part of this membership type do not include the Top 20® and other email newsletters that are part of a standard Travelzoo membership (as discussed in further detail in the Travelzoo Terms and Conditions) and are not the same as the exclusive newsletters provided as part of the Founding Membership.

Billing Cycles and Auto-Renewal

For Founding Membership, billing occurs at the time of purchase. You will then be automatically signed up for Travelzoo META and will be billed for the first subscription term of Travelzoo META when it officially launches. While you will be receiving news and updates as soon as you purchase the Founding Membership, you will also receive a notification one (1) day prior to the launch date confirming that the Travelzoo META Membership will officially launch. You can choose to opt-out of enrolment in your Travelzoo META Membership at any time following the purchase of the Founding Membership until the official launch date. If you do not opt-out before the official launch date, you will be automatically enrolled into Travelzoo META and such enrolment in the first subscription term will be non-refundable (for more details see the Termination or Cancellation of Subscription section below). By accepting these Travelzoo META Terms, you acknowledge and agree that Travelzoo does not in any way guarantee the launch date of the Travelzoo META Membership.

The Travelzoo META Membership typically recurs on an annual basis (however, your membership may recur on a different basis depending on what option is offered by Travelzoo and/or selected by you at the time of sign-up) until it is cancelled in accordance with these Travelzoo META Terms. Billing occurs at the beginning of the membership cycle and you will then be able to access/receive the Travelzoo META Services for one (1) year thereafter (or such period from the date of launch as agreed by you at the time of sign-up). By purchasing a Travelzoo META Membership, you acknowledge that your Travelzoo META Membership has recurring payment features and you accept responsibility for all recurring payment obligations prior to the cancellation of your membership by you or Travelzoo (pursuant to the Termination or Cancellation of Subscription section below).

Travelzoo may offer additional promotions or discounts related to the Travelzoo META Membership from time to time. Please read the details of those offers carefully, as any additional terms presented to you during the signup process will form part of these Travelzoo META Terms. Unless specified in writing, all discount offers that require a payment are non-refundable. Any free trial or other promotion must be used within the specified time frame of the trial or promotion. You may be required to have a valid payment method on file in order to initiate a free trial; in this case, if you do not cancel before your free trial period ends, your account will be converted to a paid Travelzoo META Membership and will be charged in accordance with these Travelzoo META Terms.

UNLESS YOU NOTIFY US OF YOUR DESIRE TO CANCEL YOUR MEMBERSHIP (IN ACCORDANCE WITH TERMINATION OR CANCELLATION OF MEMBERSHIP SECTION BELOW), YOU UNDERSTAND THAT YOUR MEMBERSHIP WILL AUTOMATICALLY CONTINUE AND YOU AUTHORIZE TRAVELZOO TO AUTOMATICALLY CHARGE YOUR SELECTED PAYMENT METHOD FOR THE AMOUNT OF YOUR SUBSCRIPTION FEE AND ANY TAXES FOR THE SUBSCRIPTION RENEWAL TERM.

UPON RENEWAL OF YOUR SUBSCRIPTION, IF TRAVELZOO DOES NOT RECEIVE PAYMENT FROM YOU, YOU AUTHORIZE US TO (A) CHARGE ANY OTHER PAYMENT METHOD WE HAVE ON FILE IN YOUR TRAVELZOO ACCOUNT AND/OR (B) CONTINUE ATTEMPTING TO CHARGE YOUR ORIGINAL PAYMENT METHOD UNTIL SUCH TIME AS PAYMENT IS RECEIVED. YOU REMAIN RESPONSIBLE FOR ANY UNCOLLECTED AMOUNTS. IF A SUBSCRIPTION FEE PAYMENT IS NOT SUCCESSFULLY SETTLED, DUE TO EXPIRATION, INSUFFICIENT FUNDS, OR OTHERWISE, AND YOU DO NOT CANCEL YOUR TRAVELZOO META MEMBERSHIP IN ACCORDANCE WITH THE TERMINATION OR CANCELLATION OF MEMBERSHIP SECTION BELOW, WE MAY CANCEL OR SUSPEND YOUR TRAVELZOO META MEMBERSHIP UNTIL WE HAVE SUCCESSFULLY CHARGED A VALID PAYMENT METHOD. WHERE TRAVELZOO TERMINATES OR SUSPENDS YOUR MEMBERSHIP DUE TO FAILURE TO MAKE A PAYMENT WHEN DUE, TRAVELZOO MAY, UPON RECEIPT OF ALL OUTSTANDING PAYMENTS DUE, REACTIVATE YOUR ACCOUNT FOR THE APPLICABLE SUBSCRIPTION RENEWAL TERM.

No Refunds

Subscription fees for Travelzoo META Membership and Founding Membership are non-refundable except as otherwise expressly described in these Travelzoo META Terms.

Price Changes

Travelzoo may from time to time change subscription prices, including recurring subscription fees and any other fees applicable to your Travelzoo META Membership. Travelzoo will inform you of any price changes in advance, including the effective date of such changes, and, if applicable, how to accept those changes. Subject to applicable law, you accept the new price by continuing to use or otherwise receive the benefits or potential benefits of the Travelzoo META Membership program after the price change effective date; provided that, you may always reject the price change by cancelling your Travelzoo META Membership prior to your next annual payment date.

Other Limitations

  • Separate from termination or suspension as described herein, we reserve the right to accept or refuse subscription requests in our sole discretion. To the extent we refuse a subscription request, any payment(s) initially processed in connection with such subscription request shall be refunded.

  • We may send you email and other communications related to your Travelzoo META Membership generally, your Travelzoo META Membership subscription specifically, where these messages are of a service or transactional nature, and regardless of any marketing communication preferences you may specify via your account settings.

  • You may not share, transfer or assign your Travelzoo META Membership or any Travelzoo META Services, except as allowed in these Travelzoo META Terms.

  • Travelzoo META Members are not permitted to use the Travelzoo META Services or purchase products for any purpose other than the Member’s individual use, including without limitation for the purposes of resale or rental.

  • From time to time and as discussed further in the Modification section set forth below, Travelzoo may choose in its sole discretion to add or remove Travelzoo META Membership benefits.

  • Travelzoo reserves the right to monitor the Travelzoo META Membership account of any Members, at any time and without notice, for compliance with these Travelzoo META Terms.

  • As described in further detail in the Termination or Cancellation of Subscription section below, Travelzoo reserves the right to terminate or suspend access to your Travelzoo account and/or your Travelzoo META Membership account, any of your subscriptions, or your ability to use the Services.

Termination or Cancellation of Membership

Cancellation of Travelzoo META Membership. If you terminate your Travelzoo META Membership, you may use your Travelzoo META Membership until the end of the then-current period and your Travelzoo META Membership will not be renewed after that period expires. However, you will not be eligible for a pro-rated refund of any portion of the Travelzoo META Membership fee paid for the then-current Travelzoo META Membership period, subject to specific cancellation and refund rights required under mandatory applicable law. To terminate your Travelzoo META membership, please contact Customer Service by emailing meta@travelzoo.com. To opt-out of receiving email newsletters and notifications regarding the Travelzoo META Memberships, you can click the “unsubscribe” link at the bottom of any Travelzoo META email or contact Customer Service by emailing meta@travelzoo.com.

Suspension/Termination by Travelzoo. Travelzoo may immediately terminate or suspend your Travelzoo META Membership without notice if: (a) your payment is overdue (provided that we will use reasonable efforts to notify you of the overdue payment before we terminate or suspend); (b) you provide false or inaccurate information; (c) you violate these Travelzoo META Terms, the Travelzoo Terms and Conditions, the Travelzoo META Privacy Policy or any other Travelzoo META or Travelzoo rules or agreements then in effect; or (d) you engage in conduct that is a violation of any applicable law or tariff (including, without limitation, copyright and intellectual property laws).

In the event that Travelzoo determines, in its sole discretion, that your Travelzoo META Membership is being accessed in a commercial setting or is for commercial use, Travelzoo reserves the right to terminate or suspend your Travelzoo META Membership at any time by writing to you at the email address associated with your Travelzoo META Membership. 

If we terminate or suspend your Travelzoo META Membership, your license to use any software or content provided in connection with the Travelzoo META Membership is also terminated or suspended (as applicable). If your Travelzoo META Membership is terminated, Travelzoo has the right to immediately delete all data, files, and other information stored in or for your account without further notice to you. You must pay all charges up to and including the date of termination. Should you wish to resume your Travelzoo META Membership after any suspension, a restoration of service fee may apply. This fee is in addition to all past due unpaid charges and other fees.

You can re-subscribe to the Travelzoo META Membership at any time following cancelation, but Travelzoo reserves the right not to permit re-subscription.

Payment

Amount to be Charged. Travelzoo META Membership Holders agree to pay the annual fee specified when you purchased your Travelzoo META Membership (plus any applicable taxes and other charges). If the amount to be charged varies from the amount you pre-authorized (other than due to the imposition of, or change in, applicable sales tax), you have the right to receive, and we will provide, notice of the amount to be charged and the date of the charge before the scheduled date of the transaction, unless applicable law requires you to expressly consent to the change in price. Any agreement you have with your payment provider governs your use of your specified payment method. You agree that we may accumulate charges incurred and submit them as one or more aggregate charges during or at the end of each billing cycle. Your failure to terminate and/or continued use of your Travelzoo META Membership reaffirms that we are authorized to charge you for that Travelzoo META Membership. We may submit those charges for payment and you will be responsible for such charges. This does not waive our right to seek payment directly from you.

Billing Authorization. You may be asked to provide a payment method (such as a credit, charge or debit card number) that we accept in order to activate your Founding Membership and/or Travelzoo META Membership, along with other payment information. You represent and warrant that you have the legal right to use all payment method(s) that you provide to us. Your authorizations in this section also apply to our payment processors and any other companies who act as billing agents for us. You hereby authorize us to charge your specified payment method on an annual basis (subject to the first subscription term as disclosed at the time of sign-up) in line with your Travelzoo META Membership cycle, in advance, for your Travelzoo META Membership(s) and/or to place a hold on your payment method with respect to any unpaid charges for your Travelzoo META Membership(s). You authorize the issuer of your selected payment method to pay any amounts described herein without requiring a signed receipt, and you agree that these Travelzoo META Terms shall be accepted as authorization to the issuer of the payment method to pay any amounts described herein, without requiring a signed receipt from you. You authorize us to continue to attempt to charge and/or place holds with respect to all sums described herein, or any portion thereof, to your payment method until such amounts are paid in full. You agree to provide updated payment information upon request and any time the information you previously provided is no longer valid. You acknowledge and agree that neither Travelzoo, nor any Travelzoo agent, will have any liability whatsoever for any insufficient funds or other charges incurred by you as a result of attempts to charge, and/or place holds on, your specified payment method as contemplated by these Travelzoo META Terms. If you provide a debit card number instead of a credit card number, you authorize all charges described herein to be applied to such debit card unless and until you provide a credit card number.

Third-Party Payment Processors. You agree to pay us, through our payment processors or financing partners (as applicable), all charges at the prices then in effect for any purchase in accordance with the applicable payment terms presented to you at the time of purchase. You agree to make payment using the payment method you provide when you set up your account. We reserve the right to correct, or to instruct our payment processors or financing partners to correct, any errors or mistakes, even if payment has already been requested or received.

Bill Inquiries and Refunds. If you believe you have been billed in error for a Travelzoo META Membership, please notify us within 30 days of the billing date by contacting Customer Service by email at meta@travelzoo.com. Travelzoo will issue refunds only if notified within the 30-day period and only for true errors in billing, in Travelzoo’s sole discretion, or where required by mandatory applicable law. 

Statutory Cancellation Rights (Certain Jurisdictions Only)

Depending on your location, you may benefit from certain additional statutory rights under consumer protection or other legislation. For example, if you are located in the United Kingdom or the European Union, you have 14 days after purchasing your Founding Membership or Travelzoo META Membership to change your mind and receive a full refund; if you access the Travelzoo META Services, or stream content during this 14-day period, you will be deemed to have waived this right; In order to exercise this right, please email meta@travelzoo.com to discuss your available refund options. Other jurisdictions may grant you comparable or other additional consumer rights.

Modification

We may update these Travelzoo META Terms at any time, in our sole discretion. If we do so, we’ll let you know by, at a minimum, posting the updated Travelzoo META Terms (as indicated by a revised “Last Updated” date at the top of the page) on the Travelzoo META Site and/or through the Services. Modifications will be effective on the date that they are posted to the Travelzoo META Site. It is important that you review the updated Travelzoo META Terms whenever we update them before you use the Services. If you continue to use the Services after we have posted updated Travelzoo META Terms, you are agreeing to be bound by the updated Terms. If you don’t agree to be bound by the updated Travelzoo META Terms, then you may not use the Services anymore. Because the Travelzoo Services are evolving over time, we may change or discontinue all or any part of the Services, at any time and without notice, at our sole discretion.

Travelzoo reserves the right to, from time to time, among other things: (a) withdraw, limit, modify, or cancel any portion of the Services, although Travelzoo shall use commercially reasonable efforts to maintain the value of the subscription as a general matter; (b) modify or regulate the transferability of products, services or benefits; or (c) limit the number of products, services or subscriptions available. Travelzoo may limit the number of Founding Membership and/or Travelzoo META Membership subscribers and may temporarily or permanently discontinue registering new Members at any time and for any reason without notice. Notwithstanding the foregoing set forth in this paragraph, Travelzoo is not responsible for Supplier withdrawals from the Travelzoo META Membership or Founding Membership, changes in products, Supplier services, or perks, or issues associated with use of products caused by withdrawal of any Supplier. Availability of products or the Services may change over time and at any time (including during the course of any given subscription term.

Travelzoo META Membership benefits are void where copied, prohibited or restricted by law.

Limitation of Liability

IN ADDITION TO OTHER LIMITATIONS AND EXCLUSIONS IN TRAVELZOO’S ADDITIONAL TERMS, TRAVELZOO’S TOTAL LIABILITY, WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, WILL NOT EXCEED THE LAST SUBSCRIPTION FEE YOU PAID. THIS LIMITATION OF LIABILITY WILL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW AND WILL SURVIVE CANCELATION OR TERMINATION OF YOUR TRAVELZOO META MEMBERSHIP OR FOUNDING MEMBERSHIP SUBSCRIPTION.

IN NO EVENT WILL TRAVELZOO, ITS PARENT(S), SUBSIDIARIES AND AFFILIATES, ITS LICENSEES, AND EACH OF THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, EXEMPLARY, PUNITIVE, INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ANY KIND, WHETHER BASED IN CONTRACT, TORT OR OTHERWISE, WHICH ARISE OUT OF OR ARE IN ANY WAY CONNECTED WITH FOUNDING MEMBERSHIP, TRAVELZOO META MEMBERSHIP OR THESE TRAVELZOO META TERMS.

YOUR INTERACTIONS WITH SUPPLIERS ARE AT YOUR OWN RISK. TRAVELZOO WILL HAVE NO LIABILITY WITH RESPECT TO THE ACTS, OMISSIONS, ERRORS, REPRESENTATIONS, WARRANTIES, BREACHES OR NEGLIGENCE OF ANY SUPPLIER OR FOR ANY PERSONAL INJURIES, DEATH, PROPERTY DAMAGE, OR OTHER DAMAGES OR EXPENSES RESULTING FROM YOUR INTERACTIONS WITH ANY SUPPLIER. TRAVELZOO IS NOT RESPONSIBLE, AND ASSUMES NO LIABILITY FOR SERVICES THAT SUPPLIERS PROVIDE OR FAIL TO PROVIDE. TRAVELZOO IS NOT RESPONSIBLE FOR THE TERMS AND CONDITIONS, PRODUCTS, SERVICES OR MEMBERSHIP REQUIREMENTS OF, OR ANY OTHER ASPECTS OF, THE PROGRAMS OFFERED BY SUPPLIERS.

Supplier Terms 

In connection with enabling you to purchase a Founding Membership or Travelzoo META Membership, Travelzoo provides a platform through which you can enter into a contract with Suppliers so as to purchase their products and/or services. Travelzoo is not the original supplier of any product or service provided by a Supplier, and your contract for the purchase and supply of any product or service from such Supplier will be directly between you and the applicable Supplier. 

If you make a purchase, you agree to review and be bound by, and acknowledge and agree that the provision of any products or services will be subject to, the applicable Supplier’s terms and conditions, as well as any of the Supplier’s other rules of purchase, examples of which may include the Supplier’s website terms, privacy policy and product-specific terms (the “Supplier Terms”). Notwithstanding the foregoing, to the extent that the Supplier Terms conflict with these Travelzoo META Terms in respect of your legal relationship with Travelzoo, these Travelzoo META Terms shall prevail. You agree that Travelzoo is not an agent of any Supplier and that the Suppliers operate independently. You agree that Travelzoo does not assume any liability, obligation or responsibility for any Supplier’s offer or promotion, and is not responsible for changes to, or discontinuance of, any products or Suppliers from the Founding Membership or Travelzoo META Membership.

NFTs

For purposes hereof, “NFT” means a non-fungible token or similar digital item implemented on a blockchain, which uses smart contracts to link to or otherwise be associated with certain content or data. The Founding Membership NFT (also known as “Travel Companion” or "Travel Companion NFT”) is associated with a digital image. 

Upon sign-up for the Founding Membership you will have access to the Travel Companion NFT gallery through which you can select one NFT. 

The Travel Companion NFT you select and claim on the Travelzoo META NFT Gallery page, will be airdropped to your digital wallet (if you provided the correct information associated with your digital wallet) within 10-15 business days, while supplies last. 

Founding Member status and Founding Membership benefits will always be associated with the email address used to sign up for the Founding Membership. The Travel Companion NFTs received after becoming a Founding Member can be traded separately from the status as a Founding Member and the Travel Companion NFT when traded and transferred to another person does not transfer the status as a Founding Member nor any of the benefits associated with such status (other than the ownership of the Travel Companion NFT). The sale or transfer of the NFT does not result in the sale of the Founding Members status or Founding Membership benefits. The holder of the Travel Companion NFT will only be entitled to this NFT and not to any of the rights associated with Founding Membership or any other promotions or special offers that are applicable to Founding Members.
